Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Tarby retail platform and the tarby.ai website (together, the "Service"), provided by Tarby Solutions FZCO ("Tarby", "we", "us"). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you agree on its behalf.

1. The Service

Tarby is a unified retail platform providing point of sale, inventory, accounting, and related modules, delivered as cloud-hosted software and downloadable applications. We may add, change, or remove features over time.

2. Early access

The Service is currently offered on an early-access basis. It may contain limitations, may change significantly, and may experience downtime. Specific commercial terms (including pricing, service levels, and support) are set out in a separate written order or agreement between you and Tarby.

You agree not to: (a) use the Service unlawfully or to store unlawful content; (b) attempt to gain unauthorized access to the Service or other tenants' data; (c) interfere with or disrupt the Service; (d) reverse engineer or copy the Service except as permitted by law; or (e) resell or provide the Service to third parties without our written consent.

5. Your data & ownership

As between you and Tarby, you retain all rights to the data you submit to the Service ("Customer Data"). You grant Tarby a limited licence to host and process Customer Data solely to provide and support the Service. Our handling of personal data is described in our Privacy Policy. You are responsible for the accuracy and lawfulness of Customer Data and for having the rights to provide it.

6. Intellectual property

The Service, including its software, design, and brand, is owned by Tarby Solutions FZCO and its licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription; no other rights are granted.

7. Third-party services

The Service relies on third-party infrastructure (including Microsoft Azure and Cloudflare). Their availability and terms may affect the Service. We are not responsible for third-party services outside our control.

8. Warranties & disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Tarby disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

9. Limitation of liability

To the maximum extent permitted by law, Tarby will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to Tarby for the Service in the 12 months preceding the claim (or, during a free early-access period, AED 1,000).

10. Term & termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or to protect the Service or other users. On termination, your right to use the Service ends; we will make Customer Data available for export for a reasonable period and then delete it in accordance with our agreement and the Privacy Policy.

11. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and revise the "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the United Arab Emirates, and the courts of the relevant jurisdiction in the UAE will have exclusive jurisdiction, without prejudice to any mandatory consumer protections.
